1. Who we are

Megaoke is a vocal training and music practice software ecosystem available through the official website megaoke.app, the Megaoke Studio web app, Training, Free Piano, Tune Legend, and related services. The product is designed for singers, students, vocal coaches, teachers, and creators who want to practice pitch, range, timing, repertoire, and vocal performance using files they own or are authorized to use.

2. The service

Megaoke may include, depending on plan and availability:

• Megaoke Studio: a browser-based local-first workspace for audio, video, lyrics, charts, piano roll practice, vocal analysis, pitch tracking, loops, project media, and chart editing.
• Training: guided vocal exercises, pitch accuracy drills, range exploration, training history, and progress metrics.
• Free Piano: a microphone-based pitch visualization and piano practice tool.
• Tune Legend: a music game and experimental pitch practice experience.
• AI processing: optional server-side or browser-side processing such as vocal separation, instrumental generation, chart drafts, and related tools.
• Plans, passes, lifetime access, and tickets: paid access to premium features, usage limits, and AI processing credits.

Some features are experimental, depend on browser support, hardware capabilities, WebGPU availability, microphone quality, network conditions, and third-party infrastructure.

3. Accounts and eligibility

• You may need a Megaoke account to save progress, use paid features, access premium tools, or consume AI tickets.
• You are responsible for keeping your account secure and for all activity performed through your account.
• You must provide accurate account and payment information.
• If you use Megaoke on behalf of a school, studio, company, or organization, you confirm that you have authority to accept these terms for that entity.
• If you are under the legal age required to enter into these terms, you may use Megaoke only with permission and supervision from a parent, guardian, school, or authorized adult.

4. Bring Your Own Content (BYOC)

Megaoke is a local-first practice and editing tool. It does not sell, provide, host, distribute, stream, or license a catalog of commercial music, videos, lyrics, or charts. Users bring their own files and are responsible for making sure they have the necessary rights, licenses, permissions, or legal basis to use those files.

User responsibility

• You must not upload, import, process, share, or use files in Megaoke if doing so infringes copyright, neighboring rights, trademarks, publicity rights, privacy rights, or any other third-party rights.
• You are responsible for complying with the terms of any platform, distributor, label, publisher, rights holder, school, studio, employer, or service from which your files originate.
• Megaoke does not authorize you to download, rip, scrape, copy, circumvent technical protection measures, or reuse third-party content without permission.
• If you use public domain, Creative Commons, open-licensed, or commissioned material, you remain responsible for respecting attribution, license scope, commercial-use rules, and derivative-work rules.

No download or piracy tools

The official Megaoke web service does not provide media downloaders, stream rippers, piracy catalogs, unauthorized lyric databases, or tools intended to obtain copyrighted content from third-party platforms.

5. Local storage and temporary AI processing

Studio projects, imported audio, video, lyrics, charts, separated stems, and generated artifacts are local-first by default and may be stored in your browser's local storage or IndexedDB. Browser storage is controlled by the browser and operating system, and Megaoke cannot guarantee that local browser storage will never be cleared by the browser, device, or user.

When you explicitly request server-side AI processing, the selected file may be temporarily uploaded to Megaoke infrastructure or a processing worker to generate the requested result. Megaoke is not a backup service. Server-side processing files should be deleted after delivery, expiration, or cleanup. Do not upload files unless you have the right to process them.

6. Plans, passes, lifetime access, and tickets

• Free plan: limited access intended for evaluation and basic use.
• Paid plans: unlock additional local tools, premium features, limits, history, analysis, class features, and monthly AI ticket allocations according to the current pricing page.
• Teacher plans: may include student seats, classroom features, shared libraries, and reporting tools. A student's upgraded access may end if the teacher removes the student or the teacher plan ends.
• Passes: temporary access for a defined duration, such as weekend or week access, without automatic renewal unless explicitly stated.
• Lifetime access: a promotional one-time offer that grants access to the advertised lifetime tier for the lifetime of the Megaoke product, subject to these terms, fair use, product availability, and discontinuation rules required by law.
• AI tickets: credits used for server-side AI jobs. Tickets are not legal tender, are not cash equivalents, and cannot be transferred outside Megaoke.

Current plan limits, benefits, prices, currencies, and ticket allocations are shown on the pricing page. We may adjust plans, feature packaging, and pricing for future billing cycles. Existing mandatory consumer rights remain unaffected.

7. Payments and billing

Payments may be processed by third-party payment processors. For Brazilian Real (BRL), Megaoke may use Mercado Pago. For international currencies such as USD and EUR, Megaoke may use Paddle or another merchant of record/payment processor. The payment processor may collect and process payment data under its own terms and privacy notices.

• Subscriptions renew automatically unless canceled before the renewal date.
• You authorize recurring charges for subscription plans you choose.
• Taxes, VAT, currency conversion, foreign transaction fees, and payment processor fees may apply depending on location and payment method.
• Failed payments may result in plan downgrade, suspension, or loss of premium access until payment is resolved.
• Refunds and cancellations are governed by our Refund Policy and applicable law.

8. Acceptable use

You agree not to use Megaoke to:

• infringe copyright, neighboring rights, trademarks, publicity rights, privacy rights, or any third-party rights;
• obtain, download, scrape, rip, redistribute, or process content in violation of law or third-party platform terms;
• share, resell, sublicense, or publicly distribute paid features, generated artifacts, account access, or AI tickets outside the intended product flow;
• attempt to bypass billing, feature limits, account restrictions, security checks, rate limits, or access controls;
• reverse engineer, decompile, attack, disrupt, overload, scan, or exploit the service except where mandatory law expressly permits it;
• upload malware, harmful code, illegal content, abusive content, or files you are not authorized to process;
• use Megaoke for medical diagnosis, clinical vocal therapy, emergency advice, or professional health decisions.

9. Vocal analysis, AI output, and educational use

Megaoke provides training metrics, pitch detection, range estimates, visual feedback, and AI-generated drafts for educational and practice purposes. These outputs can be useful but may be imperfect. Results may vary due to microphone quality, room noise, latency, browser support, vocal style, accent, instrument bleed, file quality, model limitations, and hardware.

Megaoke does not replace a qualified vocal coach, doctor, speech therapist, hearing professional, or legal/licensing advisor. Stop using an exercise if you feel pain, discomfort, or vocal strain.

10. Intellectual property

Megaoke, including its software, interface, brand, code, workflows, algorithms, visual design, documentation, and non-user content, is owned by Megaoke or its licensors. These terms grant you a limited, revocable, non-exclusive, non-transferable right to use Megaoke according to your plan and these terms.

You retain ownership of files and content you lawfully provide. By submitting files for server-side processing, you grant Megaoke a limited license to process those files solely to provide the requested service and related support, diagnostics, security, and abuse-prevention operations.

11. Availability, changes, and beta features

We may change, improve, suspend, limit, or discontinue features. Beta and experimental features may fail, change quickly, require specific hardware, or be removed. We try to maintain service availability but do not guarantee uninterrupted or error-free operation.

12. Termination

You may stop using Megaoke at any time. We may suspend or terminate access if you violate these terms, abuse the service, create risk for Megaoke or other users, attempt fraud, infringe rights, or if required by law/payment processors. Termination may result in loss of access to premium features, account data, and server-side features. Local browser files remain controlled by your browser/device.

13. Disclaimers and limitation of liability

To the maximum extent permitted by law, Megaoke is provided on an "as is" and "as available" basis. We disclaim warranties of uninterrupted availability, fitness for a particular purpose, non-infringement by user-provided files, accuracy of pitch/AI analysis, and compatibility with every browser, device, GPU, microphone, or operating system.

To the maximum extent permitted by law, Megaoke will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for loss of local browser data, loss of files, account misuse, user content infringement, third-party platform actions, or payment processor issues. Mandatory consumer rights are not excluded.

14. Governing law and consumer rights

These terms are governed by the laws of Brazil, except where mandatory consumer protection rules in your country require otherwise. If any part of these terms is unenforceable, the remaining parts remain in effect. Nothing in these terms limits non-waivable rights granted by applicable consumer law.
